Contract Negotiation

Which operator, and what are you agreeing to?

Operator selection and management agreements, read for how the hotel will run.

Why it matters

The management agreement decides who controls the hotel, what the owner pays in fees and what the owner can do if performance falls short, often for decades.

Most attention goes to the brand and the headline fees. The clauses that decide how the hotel actually runs, such as approvals, budgets, performance tests and termination, matter just as much and are hardest to change later.

What the work covers

Operator selection

Which operators and brands fit the asset, the market and the owner's goals, and what each would require in return.

Management agreement negotiation

Fees, approvals, budgets, performance tests, owner rights and termination. We negotiate alongside your legal advisers, who draft the documents.

Clause by clause

What each key term means in operation, not only on paper.

Renewals and extensions

When an agreement comes up for renewal or extension: what to keep, what to renegotiate, and what the hotel needs from the next term.

Brand transitions

When a change of brand or operator is needed: the options, the exit from the current agreement and the move to the new one.

How we work

Brief

We agree the owner's priorities for the asset.

Selection

We run or support the operator process and compare proposals.

Term review

We read the draft terms for operating consequences.

Negotiation

We take part in negotiations on your side until terms are agreed.

Is this for you?

Who it is for

Hotel owners and developers. We do not represent hotel operators on individual transactions.

When to bring us in

Before the operator search starts, as soon as the first term sheet arrives, or well before an agreement comes up for renewal.

What you receive

  • An operator comparison against your priorities.
  • A clause-by-clause operating review of the draft agreement.
  • A negotiation position and support through to agreed terms.

Questions we are often asked

Do you replace our lawyers?

No. Lawyers draft and protect the legal position. We read the same terms for what they will do to the running hotel, and negotiate on that basis.

Can you help if we want to change operator?

Yes. We set out the options, the exit from the current agreement and the move to the new one.

Can you help after the term sheet is signed?

Yes. Long-form agreements still leave room to shape how approvals, budgets and performance tests work in practice.

Why us

We have negotiated these agreements from every side of the table and lived with the consequences in operation.
